Program Fees
All program fees are subject to applicable taxes.




Chargebacks

If, at any time, we record a decline, chargeback or other rejection of a charge of any due and payable Subscription Fees on Customer’s Account (“Chargeback”), this will be considered as a breach of Customer’s payment obligations hereunder, and Customer’s use of the Service may be disabled or terminated and such use of the Service will not resume until Customer re-subscribes for any such Service, and pay any applicable Subscription Fees in full, including any fees and expenses incurred by us and/or any Third Party Service for each Chargeback received (including handling and processing charges and fees incurred by the payment processor), without derogating from any other remedy that may be applicable to us under these Terms or applicable law.

Intellectual Property
‘Intellectual Property’ which includes information relating to courses proprietary content, including but not limited to proprietary ideas, written content, graphic content, , and information regarding participants remain the sole property of the Company.
Participants do not have any right to reproduce in part or in whole any Intellectual Property for gift, resale or license to any third party.
Participants will not use any of the Program Intellectual Property for their own business venture. Clients will not teach, discuss or reveal any of the Program’s Intellectual Property in part or in whole without the expressed written permission of the Company.

Release
The participant grants exclusive rights to the Company to use any of the participants statements, written, video, audio or otherwise as they see fit while the Client is enrolled in the Program.
The participant agrees that any content published while the participant is enrolled in the course may be used as marketing or promotional material for the Program.
The participant authorizes the Company to use any statements in print publications, multimedia presentations, on websites or in any other distribution media. The participant agrees that no monetary or royalty fee will be provided. The participant waives any right to inspect or approve the finished product, including written copy, wherein the participant’s likeness or testimony for the course appears. (This will be discussed with client FIRST before done)

Guarantees/ Refund
The Company does not warrant, either expressly or by implication, to any aspect of the course nor is it responsible for the success of the course. The participant confirms and agrees that they are wholly responsible for the progress and results and that the course (and Company) offers no warranties or guarantees of future success.
The Company does not warrant or guarantee that the participant will achieve any level of result or success using any of the materials provided by or created by the course.
This course is non-refundable. It is your responsibility to ask for support when needed. Your results will be based on many different variables, many of which I cannot control, and therefore I cannot make any guarantees as to your outcome.

Waiver and Release of Liability
By signing this Waiver and Release of Liability (Agreement), I waive and release Alicia MacPherson Inc. , its agents, servants, employees, insurers, successors and assigns from any and all claims, demands, causes of action, damages or suits at law and equity of any kind, including but not limited to claims for personal injury, property damage, medical expenses, loss of services.This waiver and release is intended to and does release Alicia MacPherson Inc. from any and all liability for damages, injuries or illness.I further covenant and agree not to institute any claims or legal action against Alicia MacPherson Inc. for any claim released by this Agreement. I further agree that should any claim be made against Alicia MacPherson Inc. in contravention of this Agreement, including but not limited to derivative claims, I will protect, defend and completely indemnity (reimburse) Alicia MacPherson Inc. for any such claim and expenses including attorney’s fees and costs incurred by Alicia MacPherson Inc. in defending themselves or security indemnity hereunder.
I have read the Agreement and understand that by signing the Agreement I have consented to be bound by its terms, including the waiver/release of any legal right I may have to sue Alicia MacPherson Inc. for any costs they incur because a claim or legal action is brought in violation of this Agreement. I agree any violation of the Agreement and its terms and conditions, as determined by Alicia MacPherson Inc., will void and terminate this Agreement and may result in loss of the ability to use the services.

If there is an issue within the course, the steps to be taken before arbitration are the following.

Provision for Confidentiality

I acknowledge that the existence and the terms of this Agreement and any oral or written information exchanged between the Parties in connection with the preparation and performance of this Agreement are regarded as confidential information. Information shall maintain confidentiality of all such confidential information, and without obtaining the written consent of Alicia MacPherson INC, it shall not disclose any relevant confidential information to any third parties, except for the information that: (a) is or will be in the public domain (other than through the receiving Party’s unauthorized disclosure); (b) is under the obligation to be disclosed pursuant to the applicable laws or regulations, rules of any stock exchange, or orders of the court or other government authorities; or (c) is required to be disclosed by any Party to its shareholders, investors, legal counsels or financial advisors regarding the transaction contemplated hereunder, provided that such shareholders, investors, legal counsels or financial advisors shall be bound by the confidentiality obligations similar to those set forth in this Section. Disclosure of any confidential information by the Client or agencies hired by any Party shall be deemed disclosure of such confidential information by such Party, which Party shall be held liable for breach of this Agreement. This Section shall survive the termination of this Agreement for any reason.

Governing Law
This Agreement will be construed in accordance with and governed by the Laws of the Province of Ontario.
I HAVE READ, UNDERSTAND AND AGREE TO THE TERMS AND CONDITIONS SET OUT IN THE ABOVE AGREEMENT.
